Ron’s practice focuses on private and public offerings and mergers and acquisitions, with a special emphasis on international transactions. Prior to joining Herzog, Ron practiced corporate law with the New York office of Weil, Gotshal & Manges LLP (2004-2011) and clerked for the Honorable Justice Edmund E. Levy, Israel Supreme Court (2001).

  • Israeli counsel to a consortium of 10 banks, led by Barclays, Bank of America Merrill Lynch, Credit Suisse and HSBC in public offerings of equity ($6.75 billion) and debt ($22 billion) by Teva Pharmaceuticals Industries. These offerings are the largest offerings ever by an Israeli company;
  • Represented Mellanox Technologies's in its $811 million acquisition of EZchip Semiconductors.
  • Representing as lead issuer counsel Odysight.ai Inc., in its initial public offering on Nasdaq (S-1 was filed in December 2024)
  • Representing Goldman Sachs as Israeli counsel in connection with a $100 million buy-back plan by Kornit Digital (November 2024).
  • Representing KKR in the purchase of TASE listed UserWay in a USD 100 million reverse triangular merger (transaction pending closing).
  • Representing Jefferies as the lead Placement Agent in a secondary offering of The Phoenix Holdings (July 2024) and as the lead Placement Agent in a secondary offering by the Tel Aviv Stock Exchange as the issuer (January 2024).
  • Israeli counsel to Highbridge Capital Management in the creditors plan of Gamida Ltd. (Nasdaq: GMDA), a $100 million dollar court approved plan of arrangement (May 2024).
  • Israeli counsel to Nayax Ltd. in its $94 million registered follow-on offering on Nasdaq (March 2024).
  • Elbit Systems Ltd. in its $300 million commercial paper offering (closed September 2023).
  • Israeli counsel to Citigroup, Goldman Sachs and PNC Capital Markets as the active joint book-running managers of a $2.5 billion sustainable-linked notes offering by Teva Pharmaceuticals Industries (March 2023).
  • Citi, Barclays and Jefferies, in $800 million senior bonds offering by Israel Discount Bank (January 2023).
  • Bank Leumi, in its $500 million Green Bond offering (January 2023).
