  • Represented Unity in the USD 15 Billion share-for-share merger with Israeli target Iron Source.
  • Represented Leonardo DRS in the USD 3 Billion share-for-share merger with Israeli based and NASDAQ listed Rada.
  • Represented Sun Pharmaceutical Industries Limited the freezeout merger of Israeli based and NYSE listed Taro Pharmaceuticals, representing for Taro a company valuation of USD 1.6 Billion, and in its acquisition of all remaining Taro shares that it did not already own (~21.5%) in an offer that amounts to about $347.8 million.
  • Represented Glassbox Ltd. in a USD 150M merger transaction with Alicorn Galaxy JV Limited, special purpose fund.
  • Representing KKR in the purchase of TASE listed UserWay in a USD 100 million reverse triangular merger (transaction pending closing).
  • Represented HighBridge Capital Management Ltd. in entering into a Restructuring Support Agreement with NASDAQ listed Gamida Cell Ltd. valued at USD 75M.
  • Represented Alma Infrastructure, a private company in a statutory merger with and into Kvasir Education, a public company traded on the TASE, resulting Alma shareholders holding the majority of the shares in Kvasir. The deal was valued at approximately NIS 200 million.
  • Representing Golf & Co. in a freezeout merger for the purchase of the minority stake in TASE listed Adika.
  • Representing TASE listed Meshek Energy - Renewable Energy in a one-of-a-kind transaction for the issuance of preferred shares to the Phoenix Group for a consideration of NIS 700 million.
  • Representing several banking and non-banking lenders in the issuance of complex financial instruments (including the first ever public securitization transaction of a non-banking lender in Israel and the issuance of Credit Linked Notes by Bank Leumi in an amount exceeding NIS 3 billion.
