Overview:

  • WestRock has acquired competitor KapStone Packaging in a $4.9 billion deal. 
  • The transaction cost includes roughly $1.36 billion of KapStone's debt. 
  • Part of the financing for the acquisition came from WestRock's $1.2 billion Rule 144A notes offering. 
  • Lazard and Wells Fargo acted as financial advisers for WestRock while Rothschild & Co and Moelis & Co advised KapStone. 
  • The transaction is expected to close by the end of September 2018.
