Mergers & Acquisitions:
Cravath’s M&A lawyers advise companies in their most critical needs across the full spectrum of corporate transactions, including mergers, acquisitions, divestitures, spin-offs, joint ventures, SPACs, PIPEs and strategic investments.  In addition to—and often alongside—the mergers and acquisitions that we handle, Cravath is a leading advisor for companies and boards in high-stakes corporate situations, including hostile takeovers and shareholder activism defense.

Private Equity:
Cravath advises private equity firms and their portfolio companies in a broad range of matters across all aspects of their lifecycle, such as fund formation, mergers, acquisitions, dispositions, joint ventures, public and private equity and debt offerings, bank financings and tax planning and structuring. We also advise on transactions involving SPACs and PIPEs. Our private equity clients include traditional leveraged buy-out funds, real estate funds and hedge funds, as well as new entrants to the private equity space.

Capital Markets:
Cravath’s capital markets lawyers represent issuers and underwriters in all types of U.S. offerings, including initial public offerings, preferred stock offerings, convertible and exchangeable securities offerings, other equity and equity‐linked offerings and offerings of investment grade and high‐yield corporate bonds. We also represent issuers and underwriters in privatizations, new listings on U.S. stock exchanges, real estate financings and offerings of securities collateralized by various kinds of assets. These include offerings registered with the SEC, Rule 144A offerings, Regulation S offerings and traditional private placements.

Banking:
Cravath’s banking and credit lawyers represent lenders and borrowers in financings ranging from routine working capital facilities to complex multicurrency, multijurisdictional and highly structured financings. The range of financing transactions we lead includes leveraged and investment grade bridge and acquisition financings, asset-based financings, leveraged spin-offs, direct lending transactions, second lien and mezzanine financings, recapitalizations, liability management transactions and workout and restructuring facilities, including Debtor-in-Possession, exit and distressed M&A financing.

Restructuring and Insolvency:
Cravath’s financial restructuring and reorganization practice addresses a wide range of financial distress situations involving both chapter 11 cases and out‐of‐court workouts in domestic and cross‐border matters.

Our substantial experience with reorganization, restructuring and bankruptcy matters includes both debtor and creditor side engagements, debtor-in-possession (DIP) and exit financing, advising independent directors and boards of directors, distressed M&A (in court and out of court), advising bondholder and other ad hoc creditor groups, as well as bankruptcy litigation. We also have important experience in the fields of municipal and sovereign restructuring.
