Overview:

  • Reynolds American has completed its $27.4 billion acquisition of rival tobacco company Lorillard.
  • Lorillard shareholders received $50.50 and .2909 Reynolds American shares per Lorillard share. 
  • As part of the deal, Reynolds divested itself of a number of its cigarette brands. 
  • The brands were sold to UK-based Imperial Tobacco Group for $7.1 billion. 
  • Lazard and JP Morgan Securities acted as financial advisers for Reynolds, while Centerview Partners and Barclays acted for Lorillard. 
  • The deal was first announced in July 2014.
