Ali Sharif Zu'bi Advocates & Legal Consultants is a leading Jordanian domestic law firm founded in 1921. Ali Sharif Zu’bi Advocates & Legal Consultants is advising JPMC in connection with its negotiation with ADQ and Etihad Rail of Abu Dhabi in connection with the Aqaba-Al-Sheidiya/Aqaba Dead Sea freight rail project. Acting as lead counsel, the team is negotiating the Offtake Agreement and Shareholders’ Agreement in addition to reviewing the project agreement. The project is ongoing and led by partners Khaled Asfour and Basel Al-Hadidi.  

The firm is also advising a consortium of Meridiam SAS and Suez International SAS as local counsel on a public tender floated by the Government of Jordan with respect to engaging a private sector entity to design, construct, operate and finance a water desalination plant and a conveyance system from Aqaba to Amman on a Build, Operate and Transfer basis. The team has played a significant role in reviewing the bid documents, preparing the bidder’s prospoal, and advising the bidder on Jordanian law matters. The project agreement was signed in January 2025 and is currently in the negotiation stage for financing. The team is led by partners Jumana Toukan and Khaled Asfour.

IBLAW

IBLAW is a full-service law firm based in Amman Jordan. The firm was founded in 1997 by managing partner Salaheddin Al-Bashir who leads the deal team. Acting as lead counsel, the team was responsible for drafting an MOU that includes both public-sector authority and private foreign investment obligations, as well as regulatory structuring for project-specific SPVs and financial instruments. The transaction closed in March 2025 and was led by Firas Malhas.  

The firm was also engaged by Aqaba Development Company (ADC) to draft and negotiate an agreement between the client and Egypt Gas Company to facilitate the supply of natural gas to the Al-Quwaira Industrial City in Jordan. The agreement outlines the legal framework for constructing a natural gas pipeline network, associated infrastructure, and a monitoring and control facility, ensuring compliance with both international and local regulations governing the gas sector. The transaction closed in October 2024 and was led by Firas Malhas.

The transaction closed in September 2024.  

The firm also advised on the strategic partnership between infinity and Middle East Holdings to roll out EV cars charging stations. This included advising on the shareholders agreement, undertaking registration of the joint venture, and advising on project implementation.
