Boga & Associates is providing legal assistance and advice on the day-to-day banking activities of Banka Kombetare Tregtare (BKT). This includes legal opinions on the regulatory framework governing banking activities; advice on corporate governance and commercial issues relevant to the banking sector; legal assistance on contracts for the issuance of financial instruments, such as drafting and reviewing the terms and conditions of financial instruments; and detailed assessments of clearing and settlement procedures.
The team also provided legal assistance in relation to the development of energy projects in Albania including the installation and operation of a Floating Storage and Regasification Unit (FSRU) for regasification services. Their work included the preparation of documents and following the procedures for the establishment of an Albanian subsidiary and joint venture entity with Renco SpA, review of the shareholders agreement, and legal assistance with the incorporation of these entities. The project assistance is currently ongoing.

Their work included the preparation and negotiation of the syndicated loan facility agreement, the provision of legal services in respect of Corporate Guarantees and Personal Guarantees, and the follow up of conditions precedents. The transaction is ongoing.
The firm has also been engaged by Voltalia S.A to assist in the negotiation of the Project Development Agreement with the Ministry of Infrastructure and Economy, the Power Purchase Agreement with Offtaker, connection agreement with the Albanian Transmission System Operator and other commercial agreements with different partners. The team addresses legal matters of power sector law, renewable energy law and power market rules as well as in general public law, administrative law and civil law matters. The advice is ongoing.
