We have been practicing financial law since 1998, leading groundbreaking transactions in the Greek market. From the first securitisation in the Greek banking sector, the first Greek synthetic securitisation, the first CMBS transaction, and the first issuance of preferred redeemable shares offered to U.S. retail investors, the Greek financial crisis and the PSI to the first securitisation of commercial nonperforming exposures to the first combined offering IPO of a Greek corporate in Greece after more than two decades of standstill, our team has been at the forefront of transactions that have shaped the Greek economy.

We closed 2025 having completed a series of asset-backed finance transactions, structured around a wide range of underlying assets, from real estate to contingent and deferred receivables. Across these transactions, our role spanned from advising on the legal structure, to leading or supporting the drafting of the transaction documentation. Each deal required a deep dive into the underlying asset characteristics and constraints, including issues around transferability, confidentiality, operational continuity and realisation pathways, and translating those constraints into a workable contractual and operational framework. A further key workstream was the financial reporting interface. We worked closely with accountants and auditors to ensure that the legal architecture appropriately reflected the intended risk-and-reward transfer and supported the relevant IFRS analysis (including derecognition considerations), in a way that was consistent with the asset profile and transaction mechanics. We are seeing increasing appetite from key players such as systemic banks and blue-chip corporates for precisely these kinds of non-standard, asset specific financing solutions, and we expect this trend to accelerate in 2026.

UCI sells its Greek portfolio to a consortium of Credia bank and DK UCI, Unión de Créditos Inmobiliarios Inmobiliarios S.A. (UCI), a specialized mortgage lender in Spain and Portugal 50/50 owned by Banco Santander S.A and BNP Paribas Group, signed an agreement for the direct sale of its entire Greek to a consortium consisting of CrediaBank and Davidson Kempner Capital Management LP.UCI’s Greek portfolio is a mix of performing and non performing residential mortgage loans in Greece and certain unsecured consumer exposures. ppl assisted UCI from the early stages of the transaction through negotiations and until the execution of the agreement.
