Dias Carneiro Advogados advised on high-profile transactions in Brazil during 2024. The firm represented Mahle Metal Leve in acquiring 100% of two subsidiaries from its controlling shareholder, a cross-border related-party transaction between Brazil and Germany. The deal followed CVM Guidance Opinion No. 35, with an Independent Committee ensuring transparency and minority shareholder protection—setting a benchmark for governance in Brazilian capital markets.

Additionally, Dias Carneiro advised IDB Invest on amendments to the financing structure of Project Mendubim, a major renewable energy initiative. The firm negotiated updates to security agreements, including fiduciary assignments and conditional usufruct instruments, reinforcing lender protections and maintaining project bankability. These transactions highlight Dias Carneiro’s expertise in complex M&A and structured finance.
