Papapolitis & Papapolitis advised Morgan Stanley & Co in its capacity as Arranger in the context of the Frontier II transaction, involving the securitization by the National Bank of Greece of a portfolio of non-performing exposures with a total gross book value of EUR 1 Billion. The National Bank of Greece retained 100% of the Senior Notes and 5% of the Mezzanine and Junior Notes, while 95% of the Mezzanine and Junior Notes were acquired by funds managed by Bracebridge Capital.
Papapolitis & Papapolitis advised Intracom Holdings and its subsidiaries, KLM S.A. and Intracom Properties S.A., on the acquisition of 100% of Europa Insurance Company Single Member S.A. from KNL Investment Holdings S.A. The transaction involved an MoU/Framework Agreement, a two-step closing SPA, the merger between KLM S.A. and Intracom Properties, and various share capital increases.
Papapolitis & Papapolitis advised HELLINIKON SMSA on the sale of full ownership rights in five distinct urban blocks for residential use in the area of the Metropolitan Pole of Hellinikon. The total investment for these developments is projected to reach at least EUR 300 million. The firm drafted notarial transfer deeds and other ancillary documents, engaged in negotiations with all buyers, and assisted in the closing process.
