Established in 1993, Domański Zakrzewski Palinka is a large full-service domestic firm with offices in Warsaw, Poznań and Wrocław. The firm employs more than 100 lawyers, including 33 partners.

The firm is strong across all practice areas and particularly in banking and finance, M&A and project development.

In the banking space the firm advises international banks and financial holding and investment companies on the polish aspects of cross border financings, refinancing and debt restructurings. Foreign payment services also seek the firm’s advice on regulatory matters in relation to establishment and operation of services in Poland.

In capital markets work the firm is experienced in Polish law bond sales, advising issuers.

The M&A team represented both the buy and sell side in acquisitions, mergers, joint ventures, as well as corporate reorganizations.

In the projects space the firm has expertise in advising on public procurement and financing for energy and transport infrastructure projects. Its experience includes advising on renewable energy PPP projects – photovoltaic and offshore wind mostly. The firm is active in oil and gas sector, advising Polish operators on a range of contracting and tender processes for both regional and domestic pipeline and LNG projects.

The firm works with internationally renowned clients such as Getin Holding, URBASER, DNB Bank Polska, Santander, Nice Group, Webuild, Hanwha Q Cells and represents domestic clients such as LOT Polish Airlines, Polregio, Bank Polska Kasa Opieki, Powszechna Kasa Oszczędności Bank Polski, Zarząd Morskiego Portu Gdynia and Packhelp. It also advises multinational banks and investment funds such as Credit Suisse, Deutsche Bank and Goldman Sachs.

The firm was active in all areas of corporate law. In banking the firm advised mostly borrowers in direct financing, refinancing and acquisition financing connected to the banking sector. Its project financing practice includes projects in aviation and shipping and was particularly active in transport and renewable energy sectors.

In capital markets, the team advised mostly issuers on bond issues. On the debt side it advised on project bonds as part of a mezzanine financing and revenue. On the equity side it advised clients on IPO matters.

The corporate and M&A team was active on acquisitions and divestments. It has advised clients in renewable energy, manufacturing, healthcare, real estate, automotive, technology and telecommunications industries. 

The research period was very busy for the firm’s project development team with both infrastructure and power projects. It was particularly active in advising sponsors in construction, transport, oil and gas, and renewable energy industries.
