  • Advice to BANPRO, BANCO PROMERICA COSTA RICA, ST. GEORGES BANK & COMPANY INC. and BAC in syndicated loans consisting of credit and line of credit granted to the wind generators CASUR and EGERSA, guaranteed with real guarantees (mortgages and movable guarantees with and without delivery of possession) and other types of guarantees where the structuring of the same, the different strategies proposed were discussed and the various documents related to the operation with a value of US$ 97,301,840.81 were prepared and discussed.
  • Issuance and sale by CBC of an additional principal amount of 5.250% Senior Guaranteed Sustainability linked Notes due 2029 for an amount of US$1,100,000,000.00, a transaction that had the intervention and financing of CITIBANK and JP MORGAN acting as Global Coordinators, Joint Book-Running Managers and Sustainability-Linked Bond Structuring Agents.

  • Legal advice in the preparation of the all legal documents for the first case in the country of a merger of one retail Nicaraguan company and a foreign company. The Nicaraguan law does not regulate this legal figure, and we had to create the process for this kind of transactions, promote a change of the system of the Public Register in order to be able to register this transaction. From now on there is a precedent in Nicaragua for similar cases.
  • Legal assistance to Rio Tinto first investments into the country. We provided legal advice on a variety of local law issues including corporate law, commercial regulations, mining, environmental, etc. We assisted with the negotiation of an Option Joint Venture Agreement with Calibre in order to perform exploration activities in the country. We had to coordinate with Canadian lawyers and explain the similarities and differences of the two different jurisdictions: Canada and Nicaragua. We also performed due diligence on the 2 operating companies that Calibre has in Nicaragua, including corporate matters, mining regulations, environmental law, tax matters, etc.
