Overview:

  • Nets has completed its IPO of 105 million new and existing shares on the Nasdaq Copenhagen stock exchange.
  • The offer price was set at DKr150 and included 36,666,667 new shares and 68,333,333 existing shares, making the total value of the offer DKr15.75 billion. This values the company in excess of DKr30 billion.
  • Selling shareholders included: Advent International and Bain Capital Private Equity through Toscana (Luxembourg) Investment - a joint holding company established for the IPO, ATP through ATP Private Equity Partners IV and Via Venture Partners Fond II and members of Nets's management and employees through eInvestments af 23 marts 2014 and NH Fintech, indirectly controlled by the Nets CEO and his related parties.
  • Deutsche Bank (London Branch), Morgan Stanley & Co International and Nordea Markers served as joint global coordinators and joint bookrunners for the offer. Danske Bank, DNB Markets, JPMorgan Securities and UBS also acted as joint bookrunners, while Carnegie Invesment Bank, OP Corporate Bank, Skandinaviska Enskilda Banken, SpareBank 1 Markets and Sydbank served as co-lead managers.
