We assisted TMA Systems, in the acquisition of Eagle Technology, Inc - a Mequon-based software development company – and its Mexican subsidiary Eagle Technology Mexico.
Innovation & Additional Comments
The deal was particularly challenging given that it involved two separate jurisdictions (Mexico and United States). As such, the structure was negotiated at-length and required to conform different concepts from foreign law into a Mexican-law governed transaction.
As for the documentation, it was necessary to make the necessary adjustments in order to incorporate, within the US-law governing structure, the acquisition of Eagle Technology Mexico.
Finally, the transaction implied the negotiation and closing of highly complex documents which, due to the needs of the parties, were implemented in only a couple of weeks.
