Bir Bahadur Sachar

Bir is a member of JSA’s Corporate and Finance practice. He specialises in mergers & acquisitions (both listed and unlisted) and private equity (both listed and unlisted).

His practice covers diverse areas of corporate commercial law and exchange control law including advising on securities and exchange control aspects, mergers & acquisitions, private equity investments, business transfers, joint ventures & takeovers, foreign investments, corporate/business structuring and restructuring and general commercial contracting.

Private Equity Investments

• Advised Advent and Temasek group entities in their acquisition of the approximately 34% of shareholding and control of Crompton Greaves Consumer Electricals Limited.
• Advised Temasek with respect to its investment in Integrace Private Limited.
• Advised Temasek with respect to its investment in Global Health Limited (Medanta).

Merger & Acquisition Transactions

• Advised IndInfravit Trust in relation to its acquisition of nine road assets from Sadbhav Infrastructure Project Limited.
• Advised Timken India Limited, a subsidiary of The Timken Company, in its acquisition of ABC Bearings Limited.
• Advised LIXIL Corporation (owner of brands such as GROHE and American Standard) with its M&A activities in India, including in its recent acquisition of Sentini Sanitaryware Private Limited.

Venture Capital Investments

• Advised True Scale with respect to its investment in Advamedica Inc. and Axio Biosolutions.
• Advised Iron Pillar Fund for its investment in Testbook Edu Solutions Private Limited.
• Advised Iron Pillar Fund for its investment in Sedemac Mechatronics Private Limited.

On-market Block Deal Transactions

• Advised Citigroup Global Markets Private Limited in relation to the on-market sale by Tata Sons of approximately 1.48% of its shares in Tata Consultancy Services Limited.
• Advised Advent and Temasek group entities in relation to their on-market sale of shares of Crompton Greaves Consumer Electricals Limited and Devyani International Limited.
• Advised Baring group entity in relation to its on-market sale of shares in Hexaware Technologies Limited and Coforge Limited.
