Mikael Philip Schmidt has extensive experience advising on all aspects of M&A and securities law issues, as well as general business law, company law and fund formation.

In relation to M&A transactions, his experience includes advising on both private and public M&A, structured processes and private equity-driven transactions, involving the preparation and negotiation of transaction documentation and the subsequent legal work associated with the operation of the company.

Within securities law his focus is on general disclosure requirements, listings and rights issues. He has been involved in a large number of major Danish IPOs and public issues and is the author of the book Prospektretten (Prospectus Law).

  • Advised France-based workplace products and solutions distributor Lyreco SAS in connection with its acquisition of the overall operations of Denmark-based online office services supplier Lomax A/S.
  • Advised Denmark-based private equity house CataCap with the sale of international logistics software developer Lyngsoe Systems to Swedish private equity fund Accent Equity.
  • Advised Denmark-based specialty insurance underwriter RiskPoint Group in connection with the sale of an interest in RiskPoint Holding A/S to European private equity investor Nordic Capital through the subsidiary Cidron Artim 17 SARL.
