  • Advised on Airtel Africa Plc’s on its US$750 Million dual listing in the United Kingdom and Nigeria, a deal which is the first ever offer and inward listing on the Nigerian Stock Exchange (NSE).
  • Advised Seplat Petroleum Development Company Plc. on its £382 million 100% acquisition of the equity of Eland Oil and Gas Plc., a Scottish company, which holds a 45 percent interest in OML 40 through its joint venture company, Elcrest Exploration and Production Nigeria Limited.
  • Advised Transcorp on its $292.5million acquisition of 100% of the Federal Government of Nigeria (FGN)’s stake in the Afam power assets, following Transcorp’s emergence as a preferred bidder in the competitive bidding process conducted by the Bureau of public Enterprise.
  • Advised the African Finance Corporation (AFC) on its NGN121.4 billion facility to Emerging Markets Telecommunications Services Limited (Etisalat Nigeria, now 9Mobile).
  • Advised the Dealer Managers with respect to the cash repurchase of the USD500,000,000 7.375% notes (due 2022) (Regulation S: Common Code: 161983977, ISIN: XS1619839779; Rule 144A: Common Code: 161984078, ISIN: US98935LAB36, CUSIP: 98935LAB3) issued by Zenith Bank Plc. of which USD500,000,000 were outstanding; the deal was valued at USD500bn.
  • Advised the Sellers on their $177.65million divestment of their shares in Forte Oil Plc. (the Company), constituting 74.02% of the Company’s issued share capital.
  • Advising the Lagos State Government in connection with the $2.25billion proposed design, development, concession, financing, commissioning, operation, and management of the 38-kilometre Fourth Mainland bridge (4MB) under a design, build, operate and transfer model using a private public partnership (PPP) arrangement.
  • Advised the Tolaram Group (the Sponsors) on the $629million construction, and development of the Lekki Port under a 45-year concession by Nigerian Ports Authority on a Build, Own, Operate and Transfer (BOOT) basis.
  • Advised Evercare Group, the largest healthcare fund on the $600million development of two hospital projects in Lagos, Nigeria.
  • Advised on the merger of Cement Company of Northern Nigeria (CCNN) and BUA Cement Plc (BUA) - with a market cap of $3.3B (NGN1.18TRN) - and the listing of BUA Cement Plc on the Nigerian Stock Exchange.
  • Advised the Sponsors, AFC (Africa Finance Corporation) in connection with the proposed concession, development, financing, construction, operations, and maintenance of a thirty-kilometre (30Km) light rail, spanning from Marina to Agbado, using a public private partnership (PPP) model with the Lagos State Government (LASG).
