Gregory’s corporate advisory and transactional practice covers a wide range of Singapore and cross-border business transactions involving private and public M&A, IPOs, RTOs, and other capital markets, securities, financing, commercial, PE and investment transactions, and related corporate compliance. He has previously been ranked as a Leading Lawyer in the 2016 IFLR1000 for Corporate and M&A and as Highly Regarded in the 2018 IFLR1000 for Capital Markets, M&A and Real Estate Acquisitions.

Gregory holds a Master of Laws from the National University of Singapore and was admitted to the Singapore Bar in 1998. Gregory started his career in the Ministry of Home Affairs, and then took on roles as a prosecutor in the Ministry of Manpower and legal officer in the Civil Aviation Authority of Singapore. Gregory was partner at a mid-sized Singapore law firm, where he spent over 11 years, first in litigation and appearing in disputes before the State and High Courts of Singapore, before moving on to corporate practice in 2007. He joined Altum Law in 2020.

  • Advised Memories Group Limited in a voluntary delisting from Catalist under Rules 1307 and 1308 of the Catalist Rules pursuant to a SGD23.7 million exit offer in cash or consideration shares by SAC Capital Private Limited for and on behalf of the offeror, Memories (2022) Pte. Limited, completed in January 2023. Memories is an integrated tourism and hospitality company that provides a seamless, one-of-a-kind experience aimed at creating lasting memories
  • Advised Fabchem China Limited on their SGD25 million acquisition of Lincotrade & Associates Pte. Ltd. in consideration for the issue of 113,636,363 new shares in Fabchem to the shareholders of Lincotrade, amounting to a reverse take-over of Fabchem, and the proposed transfer of the listing and quotation of Fabchem’s shares from the Mainboard to the Catalist Board of the SGX-ST, completed in August 2022. Lincotrade is an integrated interior fitting-out solutions specialist with an established track record in commercial, residential premises as well as showflats and sales galleries. Upon completion, Fabchem China has now been renamed Lincotrade & Associates Holdings Limited.
  • Advised SGX Mainboard-listed SMI Vantage Limited on their diversification of core business to pivot in a new direction encompassing, inter alia, cryptocurrency, SaaS, robotics, NFTs and other high technology platforms, and the placement of 7,834,757 new SMI shares to existing substantial shareholder, The9 Limited, in consideration for SMI’s SGD705,000 purchase of 3,000 Canaan Avalon BTC Miner cryptocurrency mining machines, completed in April 2022.
  • Acted as Singapore counsel to AirAsia Berhad on its ASEAN focused airport ground handling joint venture with SATS Ltd, completed in February 2018, pursuant to which, SATS acquired a 50% interest in AirAsia’s subsidiary, Ground Team Red Holdings Sdn Bhd in exchange for SATS’ 80% stake in SATS Ground Services Singapore Pte Ltd, SATS’ airport ground handling subsidiary serving airlines at Singapore Changi Airport’s Terminal 4, and aggregate cash consideration of SGD119.3 million.
  • Advised United Overseas Bank Limited, the Sponsor, Issue Manager and Placement Agent in the SGD8 million Catalist IPO by way of placement of 43,000,000 ordinary shares in the capital of Wong Fong Industries Limited, one of Singapore’s leading providers of land transport engineering solutions and systems, completed in July 2016.
