  • Advised on the establishment of Africa Export Import Bank’s 300 billion bond programme within the Nigerian capital market. The interesting feature about this transaction is that being a non-Nigerian entity, we advised on the boutique of regulatory approvals and waivers that needed to be obtained from the Central Bank of Nigeria, National Pension Commission, Securities and Exchange Commission, National Insurance Commission, Federal Ministry of Finance and the Federal Inland Revenue Service.
  • Advised the Edo State Government on its 25billion private bond issuance programme. The interesting feature of this deal is that we advised the Edo state government on a structured private bond issue for the development of key projects, noted on the PCS portal of the FMDQ a restricted, access-only information repository which contains information on private companies’ bonds noted on the FMDQ Private Companies’ Securities Information and Distribution Portal.
  • We acted as Solicitors to the Issue in connection with the N 10 billion bond issuance programme of CardinalStone Financing SPV PLC, which was sponsored by CardinalStone Partners. The deal involved the use of a special purpose company as the issuing vehicle that will issue the bonds for the ultimate benefit of the sponsor. We assisted with structuring the transaction and ensured that the terms of the bonds were in tandem with the underlying back-to-back note issuance agreement which is the source of repaying the bonds.
  • Advised BUA Cement PLC in relation to the establishment of a N200 billion bond programme and issuance of the Series 1 N115 billion bond issue. The bond programme is the largest corporate bond issuance in the Nigerian debt capital markets and involved managing the interests of the several parties to the transaction.
