Established in 1825, Matheson is one the Ireland's oldest firms. It has six offices in Dublin, Cork, London, New York, Palo Alto and San Francisco.

 

Focusses / specialisms

The firm is strong across all areas of financial and corporate work, and with an experienced projects team. Structured finance and securitisation, financial services regulatory, and restructuring and insolvency are areas where the firm is especially noted for its expertise. 

In the banking space the firm advises large domestic and international financial institutions and corporations on a syndicated loans, acquisition and project finance, real estate and refinancing transactions. Its asset finance offering includes work in transport and aviation sector. It advises airlines, asset managers and leasing companies on financing, leasing and portfolio acquisitions. 

The aviation sector also engages the capital markets team on complex asset backed securitisation mandates. The team's strength in securitisation is further highlighted by their work on CLOs where they advise foreign asset managers on European deals. In the equity space the firm is noted for its work on IPOs for issuers and financial advisors. It is also active on the placements of new shares and rights issues. 

The funds team advises international asset managers on the establishment of Irish funds and structures including UCITs, AIFs and ETF. Its global client base includes some of the largest US asset managers. 

The financial services regulatory team advises international banks and asset managers on Irish regulations assisting them on gaining authorisations from Central Bank of Ireland and other regulating bodies. 

The M&A team is strong private equity transactions. It advises US and UK private equity firms on acquisitions and sale of Irish companies across various sectors. 

In project development the team is especially active in PPP projects and notably experienced in the developments in public services and the education sector. 

The firm's restructuring team advises custodians and international entities on cross border restructuring mandates across various sectors. The firm also represents banks as creditors on bankruptcy and insolvency issues.

Research period review: 30th edition (2019/2020)

During the research period in asset finance the firm has advised on aviation and asset financing and leasing, acting for aircraft lessors, lenders, borrowers and airlines in a range of work, including an increase of loan financing, aircraft portfolio acquisition financing, ABS issuances and repackaging deals.

In banking and finance the firm advised domestic and institutional banks and financial institutions in Ireland. It advised of cross-border financial restructurings, with both an Irish examinership and Chapter 11 process element and assisted both borrowing and lending parties renewable energy and data centre project financing.

In capital markets work the firm advised as Irish listing agents and issuers to CLO and multi-currency note issuances and updates to EMTN programmes. The debt team also worked on UK SME loan securitisations, advising many special purpose companies as issuers. In equity, the firm has seen continued increase in re-domiciliation of listed corporations.  

In investment funds work the firm established funds with UCITS ETF and ICAV products and structures, many with environmental, social and governance (ESG) investment aspects. It also advised funds on Brexit planning and regulatory.

In M&A the firm advised on public takeovers, advising mainly on the buyer side in acquisitions in technology, financial services, manufacturing and media. It also advised on notable high-profile listed company combinations in the insurance brokerage sector.

In project development the firm advised on public private partnership (PPP) mandates in the healthcare facilities and transport sectors, and represented sponsors, concessions, project companies and contractors in a range of industries including on the establishment and construction of battery energy storage projects, the development of the Bremore Port, National Broadband infrastructure and wind farm PPAs projects. 

In restructuring work the firm advised distressed companies in innovative restructurings and examinerships, like Weatherford International plc, as well as advising large international banks, shareholders and investment funds. It also advised receivers in receiverships and creditors in bankruptcies. 

Staffing changes saw Peter O’Brien, a banking partner, and Ciaran Healy, a capital markets partner, leave the firm in the research period. In recent hires, the firm hired equity capital markets partners David Fitzgibbon, Susanne McMenamin and David Jones.
