Eversheds Sutherland Bulgaria advised on all matters of Bulgarian law the Republic of Bulgaria in relation to its € 3,000,000,000 and US$ 1,500,000,000 triple-tranche issue under its GMTN Programme increased to € 20 billion. This included advice on a supplement to the GMTN Programme offering circular as well as Bulgarian securities, taxation, and constitution law. The transaction closed in August 2024 and was led by partner Nikolay Bebov.
The team also advised Allianz Bank Bulgaria, as single transaction counsel, in the public issuance of € 50,000,000 million 4-year MREL notes. This included drafting the public offering and listing prospectus and all relevant documentation for the issuance of the bonds, assisting in the obtaining of prospectus approval by the Financial Supervision Commission, and advising the client throughout the entire public offer procedure. The issuance occurred in December 2024.
