M&A: 

  • Acted as local counsel for Bayer, a global life sciences company in its US$ 66 billion acquisition of Monsanto, a publicly-traded global provider of agricultural products for farmers headquartered in St. Louis, Missouri, United States. 

Banking: 

  • Advising Barclays Bank Tanzania Limited and Barclays Bank Mauritius Limited on a US$ 18 million financing transaction to a leading food manufacturing and distributor company; 
  • Acting as legal adviser to the lenders in respect of an asset based structure debt financing of up to US$ 40 million for purposes of financing a 16MW run-of-the-river hydro plant project in Uganda on the Kagera river, bordering Uganda and Tanzania. 

Tax: 

  • Advising one of the telecommunication companies in Tanzania on mitigation of withholding tax liabilities relating to interest on shareholder loans; 
  • Successfully overseeing a tax appeal for one of the upstream petroleum companies, leading to withdrawal of demands for tax that was in dispute. 

Mining: 

  • Advising mining companies on initial public offering and listing on the Dar es Salaam Stock Exchange; 
  • Advising several mining companies including one of the largest cement manufacturing companies on restructuring of business following significant changes in the mining legal and regulatory framework in Tanzania.
