  • Arias advised New Fortress Energy Inc. on the issuance of a private offering of $1,000 million aggregate principal amount of senior secured notes due 2025, assisted NFE in the reviewing of the documents related to the offering regarding its involvement as Note Guarantor; and also worked in the security documents for the guaranty to the Notes Holder and Collateral Agent.

  • Arias Assisted DEG (German Development Financial Institution) in long-term loan totalling USD 20 million to Comercializadora de Mani S.A. (COMASA), a leading peanut-processing company in Nicaragua. The loan is destined to refinancing loans from local commercial banks, allow new investment, and thus provide long-term job security for around 830 employees, seasonal workers, and suppliers. Her participation not only included customary client due diligence and transaction structuring, but also a tax perspective review of the security package (including real estate, accounts receivable, machinery and equipment and insurance policies), standing of real state, and cancellation of existing liens. Advice includes extensive negotiations with the Borrower regarding transaction terms and collateral. Likewise, Bertha was responsible for preparing and reviewing all terms and conditions of the Loan Agreement and related financial documents necessary for the closing of the transaction.

  • Post the acquisition of Network Management Services, S.A. on July 2019, Arias team continued to assist SBA on the merger process of the company. Arias assisted the client on the regulatory, corporate and tax issues related to the merger of the company and subsequent dissolution of the absorbed entity.
  • Arias drafted the corporate resolutions and the merger deed and assisted the client on getting the permitting required for the merger before the regulator. Roger assisted the client on the structure of the transaction.

  • Gustavo advised TIGO in the merger its local entities to consolidate the business operation into one single entity, following the acquisition of Telefonic's local operation., and is now assisting Tigo Nicaragua in navigating the regulatory and anti-trust approval for the merger. The assistance of Arias includes the legal analysis and strategy for the integration of the business, including regulatory, tax and corporate matters, drafting all the corresponding merger and ancillary documentation to carry of consolidation. This deal is of special importance as it is the first time that two of the leading telecommunications companies of the country will merge into one single entity and transfer all assets and clients to operate as one, after the antitrust law was passed a decade ago.
