Overview:

  • Tele Columbus acquired Pepcom for €505 million from Star Capital in a deal which saw Germany's third and fourth largest cable television operators combine.
  • In addition to the fee, the deal involved Tele Columbus assuming around €100 million of Pepcom's debt. 
  • The listed acquirer financed the deal with bank debt and a €240 million capital increase. 
  • The loan was a €320 million senior incremental facility. 
  • Goldman Sachs, JPMorgan and BNP Paribas provided the financing and were underwriters on the IPO.
  • Telecom went public in 2015.
  • The deal was the second large acquisition Tele Columbus made in 2015, having already acquired another rival PrimaCom Holding for €711 million.
