RTPR has assisted the private equity fund MidEuropa with respect to Romanian law matters related to the closing of the sale of Regina Maria Group to Mehiläinen, Finland’s largest healthcare and social care provider. The transaction was signed in March 2025 and is the largest ever healthcare services transaction in Central Europe.

RTPR has assisted the syndicate of banks formed by Banca Transilvania and Banca Comerciala Romana as Mandated Lead Arrangers, and Raiffeisen Bank, BRD - Groupe Société Générale, CEC Bank, ING Bank and Intesa Sanpaolo Bank Romania, as lenders in connection with a RON 3.1 billion syndicated loan granted to Electrica for investments and refinancing. Raiffeisen Bank also acted as Sustainability Agent.

RTPR has assisted the private equity fund MidEuropa and its (former) portfolio company, Profi Rom Food, on the closing of the sale of Profi to Ahold Delhaize in respect of Romanian law matters of the transaction. Profi is a leading traditional grocery retailer in Romania, having over 28,000 employees and a network of more than 1,750 stores, operated both directly and in partner system, with Profi Super, Profi City, Profi Go and Profi Loco as main formats.

RTPR assisted Autonom Services S.A. in relation to a new bond issue, with an aggregate nominal value of EUR 30 million and a maturity of 5 years, with a fixed annual interest rate of 6.14%. Autonom Services is the most important independent player on the operational leasing and rent-a-car markets in Romania. The bonds issued have been admitted to trading on the regulated market of the Bucharest Stock Exchange and are correlated with the company’s sustainability objectives.

Romania: RTPR advises Oresa and Cristian Amza on La Fantana sale

RTPR has assisted the Swedish investment company Oresa and the entrepreneur Cristian Amza in relation to the sale of the entire stake in the La Fantana group, which has subsidiaries in Romania and Serbia, to the strategic investor Axel Johnson. La Fantana is a market leader in watercooler and bottled water supply solutions, for companies, public spaces, but also for the residential segment, with national coverage in Romania and Serbia. The RTPR team was coordinated by partners Costin Taracila and Alina Stavaru, who were closely assisted throughout the process by Cezara Urzica (Senior Associate) and Andrei Nicolae (Junior Associate). The team also included Ianita Tui (Counsel), Ana Popa, Marina Fecheta-Giurgica (Senior Associates), Andrei Tosa (Managing Associate), Maria Luca, Irina Marinescu and Luka Perovic (Junior Associates).
