An established commercial law firm founded and managed by Pheo Hutabarat. The firm has grown steadily over the years and now has almost 50 members of staff whose focus is on commercial/corporate, capital markets, project finance, banking, intellectual property and dispute resolution.
The banking and finance team is led by partner Rosna Chung, who together with Hutabarat are known for their expertise in drafting and structuring complex transactions. Rosna is also noted for her work in preparing transaction documents. The team had a busy year acting as legal counsel in nearly a dozen cases that involved reviewing loan contracts, financing provisions and general advice on financial services regulations for banks, construction companies, resort operators and shipping companies.

Deals
In the capital markets the firm acted as legal counsel for Indomobil Sukses Internasional in connection with its international rights issue raising Rp3.28 trillion ($344 million). In the debt market they acted as legal counsel for Indomobil Wahana Trada with its Rp700 billion bond issuance on the Indonesian Stock Exchange. Elsewhere, they provided legal advice to Linktone on the Indonesian Regulations Framework.
In M&A, the firm assisted Moorim Inc, a South Korean paper manufacturer acquire a majority shareholding in Plasma, which is a plantation company in Papua province. They also assisted a subsidiary company of the Djarum Group in its takeover of a plantation company in Kalimantan.
