Capital Markets:

Highlights:

Advising Central Retail Corporation Plc. on IPO/listing on Stock Exchange of Thailand, and international offering under Rule 144A/Reg S of U.S. Securities Act, including tender offer/share-swap for delisting Robinson Plc. This was the 1st swap-ratio not announced for approval at transaction start, and 1st IPO/share- swap combined in one transaction. With operations in Thailand, Vietnam, Italy in various retail formats, the project aims to consolidate businesses under one listed vehicle. 

Advising Samart Corporation Plc., majority shareholder in Samart Aviation Solutions Plc., on IPO/listing of Samart Aviation Solutions Plc. on Stock Exchange of Thailand. Aviation Solutions Plc. holds all shares in Cambodia Air Traffic Services Co., Ltd. (CATS); Cambodian airline/aviation company. This is the 1st IPO on the SET for a Cambodian company, and regulatory mapping was required to compare Thailand’s and Cambodia’s frameworks.  

 

M&A:

Highlights:

Advising Thanachart Capital Plc. and Thanachart Bank, on a cross-border merger to become the 6th largest bank in Thailand. Work: due diligence on TMB Bank Plc. and subsidiary; all agreements; obtaining approval/consent/exemptions from Thai authorities; preparing corporate approval documents/disclosures. 

Advising CVC Capital Partners, British-based private equity/credit organization and Equity Partners Ltd. on a cross-border 50% acquisition in Ngern Tid Lor Co., Ltd., wholly-owned subsidiary of Bank of Ayudhya ─ Thailand’s 5th largest Bank. Work: regulatory advice on new lending business license; target’s due diligence; approvals from Bank of Thailand/other authorities; assisting international counsel on drafting agreements.
